However, by posting, uploading, inputting, providing or submitting your submission you are granting RCF, its affiliated companies and necessary sublicensees a non-exclusive, transferable, sublicensable, worldwide, perpetual, royalty-free license to use your submission in connection with the operation of their internet businesses including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your submission and to publish your name in connection with your submission, subject to the terms of our Privacy Policy and the Talent Search

RCF is under no obligation to post or use any submission you may provide and may remove any submission at any time in RCF's sole discretion.

TERM

These Terms of Use are effective until terminated by RCF. RCF may terminate these Terms of Use with respect to you or any other third party without notice at any time for any reason. Upon termination, all rights granted in these Terms of Use shall immediately cease to exist and you must promptly discontinue all use of the Site. In addition, in the event that we determine, in our sole discretion, that you have breached these Terms of Use, we reserve the right to terminate access to the Site and take any action which we, in our sole discretion, deem to be appropriate. In the event this agreement is terminated, the restrictions regarding Site content, and the representations and warranties, indemnification and limitations of liabilities set forth in these Terms of Use will survive termination.

Neither RCF nor any representative of RCF shall be liable in any way to you, and you agree to indemnify and hold harmless RCF and all such representatives for, from and against any and all claims, damages, judgments, costs and expenses, including attorneys' fees, arising from or related to your use of the Site, your breach of any representation, warranty or other provision of the Terms of Use, and/or your violation of the law or the rights of any third party.

GENERAL PROVISIONS

You agree that no joint venture, partnership, employment, or agency relationship exists between you and RCF as a result of the Terms of Use or your use of the Site.

To the maximum extent permitted by law, the Terms of Use are governed by the laws of the state of California, without giving effect to any choice or conflict of law provision or rule that would cause the application of laws of any jurisdiction other than those of the state of California, and you hereby consent to the exclusive jurisdiction and venue of the courts located in the District of Sacramento in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms of Use shall continue in full force and effect.

The headings in these Terms of Use are for convenience only and shall not affect the meaning or interpretation of these Terms of Use. Except as otherwise specified herein, the Terms of Use constitute the entire agreement between you and RCF with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and RCF with respect to the Site. A printed version of the Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Failure of RCF to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision.

RCF reserves the right at all times to:

disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request
to edit, refuse to post or to remove any information or materials, in whole or in part
to terminate a user's access to the Site or any portion thereof
